# Terms of service

The terms on which Mirai Studio, Inc. provides Forecall, its linter, dashboard, API and command-line tool, for free and on the paid plans.

These terms are an agreement between you and 株式会社みらいスタジオ (Mirai Studio, Inc.; "we"),
which provides Forecall: the website at forecall.dev, the dashboard at app.forecall.dev, the API at
api.forecall.dev and the `forecall` command-line tool (together, "the service"). By using the
service, you agree to these terms. If you use it for an organization, you agree to them on its
behalf and confirm that you may.

## Accounts

You can use the linter without an account. The dashboard and the API need you to sign in with
GitHub or with a link sent to your email address. Your first sign-in creates an account and an
organization; what you register belongs to the organization, and its members can see it.

Keep your sign-in and your API keys to yourself. You are responsible for what is done with them.
If you think a key has leaked, revoke it in the dashboard at once.

## Plans and payment

The service has a Free plan and paid plans (Pro and Team). Prices are in US dollars and include tax.
A paid plan is billed monthly in advance through Stripe and renews each month until you cancel it.
You can change the plan in the dashboard: moving up is billed at once for the difference over the
rest of the month, prorated, and moving down takes effect at the end of the month you have paid for.
You can cancel at any time in the dashboard; the plan stays in use until the end of the month you
have paid for. Payments are not refunded, in full or in part, unless the law requires it. The
[commercial disclosure](https://forecall.dev/en/commercial-disclosure) sets out the prices, payment and cancellation.

Each plan includes a number of units a calendar month (UTC), which operations such as saving a
score through the API and running evaluations use. Units left at the end of a month do not carry
over. Units bought as credits expire six months after purchase. When the units and credits are used
up, operations that need them stop until the next month or until you buy more.

We may change the prices or what a plan includes. We will tell you at least 30 days before a change
applies to a plan you pay for, and you can cancel before it does.

## Your content

"Your content" is what you give the service: tool definitions (`tools/list`), the details of your
servers, and anything else you submit. You keep your rights in it. You allow us to store, copy and
process it as needed to provide the service: to score it, to evaluate it, to show it to the members
of your organization, and to keep backups.

Running an evaluation sends your tool definitions, and the test utterances written from them, to
the model providers you choose, as the [privacy policy](https://forecall.dev/en/privacy) describes.

A result of the linter made without signing in can be seen by anyone with its URL. Search engines
do not list it, and it is deleted after 30 days; the browser that made it can delete it sooner. Do
not submit tool definitions that are not public yet, secrets, or personal information.

You confirm that you have the right to submit your content, and that doing so does not break the
law or anyone else's rights.

## Scores and evaluations

Scores come from rules applied to how your tools are written. Evaluations ask third-party AI
models what they would do, and their answers vary. Both are information to help you improve your
tools. They are not a guarantee of how any model or client will behave, and you should not rely on
them alone for decisions of consequence.

## What you must not do

You must not:

- break the law, or use the service to infringe anyone's rights;
- get around the limits of a plan, the rate limits or the security of the service, or access it by
  means other than the ones we provide;
- put an unreasonable load on the service, or disrupt it or the networks it runs on;
- submit malicious code, or content meant to harm the service, the model providers or other users;
- resell or share access to the service outside your organization without our written consent;
- use the service, or what it returns, to build a competing dataset or service by bulk collection.

## Changes to the service

We improve the service and may change, add or remove features. We may suspend it briefly for
maintenance, or without notice when it is needed to keep the service or its users safe. We will
try to tell you in advance of changes that affect a plan you pay for.

## Suspension and ending

You can stop using the service at any time. To delete your account and your organization's data,
write to [support@forecall.dev](mailto:support@forecall.dev) from the address you sign in with.

We may suspend or close an account that breaks these terms, after telling you why when we can. If
we stop providing the service as a whole, we will tell you at least 30 days in advance and refund
the part of a paid plan you can no longer use.

## Disclaimers and liability

The service is provided as it is and as it is available. We do not promise that it will be free of
errors or interruptions, or that its results are accurate or fit a particular purpose.

To the extent the law allows, our liability for any damage arising from the service is limited to
the fees you paid us in the three months before the damage occurred, and we are not liable for
indirect or consequential damage or lost profits. This limit does not apply to damage caused by
our intent or gross negligence. If you are a consumer under Japan's Consumer Contract Act, any part
of this section that the Act makes invalid does not apply to you.

## Changes to these terms

We may change these terms when it is needed, for instance because the service or the law changes.
We will publish the new terms on this page with the date they take effect, and tell you by email or
in the dashboard in advance of a change that is not in your favour. Using the service after the
change takes effect means you accept the new terms.

## Law and courts

These terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction
as the court of first instance over any dispute about the service or these terms.

These terms are written in English and translated into Japanese. If the two differ, the Japanese
version prevails.
